Role Overview
The Contracts Manager will oversee the comprehensive management of all contracts involving the company and its subsidiaries. This responsibility encompasses a variety of agreements, such as supply contracts, leases, IT and software licenses (including development and integrations), installation and commissioning agreements, partnership contracts, vendor and consultancy arrangements, among others.
Key Responsibilities
- Draft, examine, and negotiate multiple contract types while protecting the company’s interests.
- Collaborate with internal teams to understand business needs, ensuring contracts comply with company standards and legal frameworks.
- Identify and manage risks, liabilities, and obligations within contracts to minimize legal and financial exposure.
- Guarantee enforceability and clarity of contract terms in accordance with applicable laws and regulations.
- Engage external legal counsel for complex contract matters where necessary.
- Maintain a centralized contract repository with accurate record keeping and easy access for authorized personnel.
- Supervise contract lifecycle phases, including initiation, execution, renewal, and termination.
- Monitor key contractual dates and deliverables to ensure compliance and prompt actions.
- Document and approve all amendments, renewals, and terminations appropriately.
- Ensure contracts adhere to company policies, legal requirements, and industry regulations.
- Recognize contractual risks and propose mitigation plans.
- Confirm fulfillment of all contractual commitments by involved parties.
- Coordinate with legal, finance, and operations teams to resolve issues related to disputes, breaches, or non-compliance.
- Provide guidance and training concerning contracts to internal teams.
- Serve as the primary contact for contract inquiries and clarifications.
- Support procurement and business units in vendor selection, contract negotiation, and performance assessments.
- Facilitate effective contract execution through stakeholder coordination.
- Secure sensitive contract documents ensuring confidentiality and best storage practices.
- Implement document control and version management systems accessible only to authorized staff.
Qualifications
- Bachelor’s degree in Law, Business Administration, Contract Management, or related field.
- Certified Commercial Contracts Manager (CCCM) and/or Certified Professional Contracts Manager (CPCM) certification.
- Other recognized certifications in contract management or legal areas are advantageous.
Experience and Skills
- At least 10 years of contract management experience, preferably in related operational sectors.
- Solid knowledge of contract law, commercial clauses, and risk management practices.
- Proven experience managing varied contracts, including IT/software, vendor, partnership, and procurement agreements.
- Familiarity with local and international regulatory and compliance standards.
- Exceptional skills in drafting, negotiating, and risk analysis of contracts.
- Attention to detail in identifying potential contractual risks.
- Ability to independently handle multiple contracts simultaneously.
- Strong communication and interpersonal capabilities for collaboration with internal and external parties.
- Proficient in contract management software and document control tools.
- Demonstrates high integrity, confidentiality, and accountability in managing sensitive contractual records.
