Role Overview
The Governance Manager will spearhead the establishment and ongoing advancement of the corporate governance framework within the organization. This includes enforcing accountability, transparency, regulatory compliance, and sound decision-making processes. The manager will contribute to governance initiatives and provide vital reports to executive leaders and committees.
Key Responsibilities
- Lead the deployment and continual refinement of the corporate governance framework aligned with local laws and global best practices.
- Create, revise, and uphold governance policies, procedures, charters, and relevant documentation.
- Perform regular assessments of governance structures and operating methods to ensure they meet organizational goals effectively.
- Guarantee adherence to governance policies including Delegation of Authority (DoA) and collaborate with compliance and other departments on regulatory issues.
- Manage governance reporting activities by preparing detailed reports, dashboards, and presentations for top management, Board, and its committees.
- Support governance committees through organizing meetings, monitoring resolutions, and ensuring action points are carried out.
- Detect governance shortfalls and suggest process enhancements to boost governance maturity and overall organizational efficiency.
- Advise various business units on governance prerequisites and foster governance awareness throughout the organization.
- Stay informed about updates in governance laws and practices and propose modifications to the frameworks accordingly.
- Lead special governance projects designed to increase transparency, accountability, and performance.
Requirements
- Possess a bachelor's degree in business administration, law, corporate governance, public administration, or a related discipline.
- Have at least seven years of professional experience in corporate governance, compliance, internal controls, risk management, or an equivalent field.
