Job Overview
This role is responsible for overseeing and aiding the Secretarial compliance functions for India Cements Ltd, its listed subsidiary, and the parent company. The focus is on coordinating compliance activities, preparing necessary legal and financial documents, ensuring timely submissions, managing compliance processes, and upholding corporate governance standards.
Key Responsibilities
- Collaborate with the Secretarial team at India Cements Ltd to address compliance-related tasks.
- Conduct routine compliance audits and identify gaps, proposing corrective measures.
- Manage processing of Power of Attorney (POA) documentation, including drafting POAs and Letters of Authority (LOAs).
- Prepare agendas and pertinent notes for Finance Committee meetings where POA approvals are involved.
- Maintain statutory registers and secretarial records per requirements under the Companies Act, SEBI regulations, and related laws, ensuring periodic updates and audit readiness.
- Update the investor relations section of the company's website with timely and accurate disclosures, coordinating with corporate communications teams.
- Support the stamp duty adjudication function by preparing applications, coordinating with external consultants, addressing authority queries, and tracking closure timelines.
- Prepare and file statutory forms, returns, and regulatory submissions, coordinating with internal stakeholders and senior leads while monitoring compliance deadlines.
- Keep company policies updated in line with legal and governance standards, track regulatory changes, and maintain records of amendments.
- Assist in drafting and compiling components of the Annual Report and support the planning and documentation for Annual General Meetings (AGM) and National Company Law Tribunal (NCLT) meetings, ensuring timely adherence to procedural requirements.
