Overview
H.C. Wainwright & Co., LLC, a boutique healthcare investment banking firm based in New York City, is looking for an experienced Paralegal to provide clerical and research assistance. This role includes preparing documents, conducting detailed research, supporting due diligence efforts, and maintaining organizational systems. Candidates may be located in New York, Miami, or work remotely.
Key Responsibilities
- Coordinate with senior management, investment bankers, outside counsel, consultants, and auditors involved in transaction offerings to complete thorough due diligence reviews.
- Manage business client onboarding by executing Customer Due Diligence (CDD), Enhanced Due Diligence (EDD), and AML/OFAC compliance procedures.
- Conduct comprehensive searches using internet sources, SEC public filings, social media platforms, legal databases, and third-party vendors to identify risks, negative news, and gather diligence data for prospects and existing clients.
- Perform legal research and analyze findings relevant to securities and investment banking contexts.
- Document and verify diligence outcomes per firm protocols to ensure accurate representation in all records.
- Maintain and optimize internal company systems and workflows supporting the diligence team.
- Organize, prepare, store, and retrieve physical and electronic files effectively.
- Update and manage firm databases and lists for daily operational use.
- Assist with scheduling meetings, filing paperwork, and conducting KYC/AML verifications as part of ongoing diligence functions.
- Ensure structured filing systems for diligence related to client transactions both physically and electronically.
Required Qualifications
- Minimum two years of experience, preferably gained at a law firm specializing in securities law or within an investment banking environment.
- Strong grasp of legal concepts including research techniques, court pleadings, documentation, and procedural knowledge.
- Familiarity with securities transactions and public company SEC documentation like 10-K, 10-Q, and Proxy statements.
- Knowledge of life sciences, FDA issues, cryptocurrency, or intellectual property areas viewed as advantageous but not mandatory.
- Ability to effectively juggle multiple projects in a fast-paced, high-pressure setting.
- Excellent organizational skills, prioritization capabilities, and an attentive attitude toward timely task completion.
- Proficient user of Microsoft Office Suite or equivalent productivity software.
Compensation
The salary range for this position is $60,000 to $80,000 annually.
